1. Acceptance of these Terms
These Terms & Conditions form an agreement between you and cBot Factory regarding your access to and use of the cBot Factory website, strategy builder, subscription features, generated outputs, and related services (collectively, the “Service”). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and legally capable of entering into this agreement. If you use the Service for an organization, you confirm that you have authority to bind it.
2. What cBot Factory provides
cBot Factory provides software tools for configuring rule-based strategies intended for use with the cTrader platform. The Service may help you select technical indicators, configure parameters, define directional entry logic, set confirmation rules, establish exit and risk controls, validate configuration rules, and generate or prepare cBot outputs.
Features vary by plan and may change as the Service evolves. A feature description is not a promise that it will be compatible with every broker, symbol, account type, cTrader version, market condition, or third-party service.
cBot Factory is independent and is not affiliated with, endorsed by, or acting for Spotware Systems, cTrader, any broker, PayPal, or any indicator creator unless expressly stated.
3. Accounts and security
You must provide accurate account information and keep it current. You are responsible for activity performed through your account and for protecting your password, email account, downloaded cBots, license keys, and connected trading environment.
Do not share credentials, one-time codes, payment details, broker logins, cTrader credentials, or API secrets with cBot Factory. If you reasonably believe your account has been compromised, notify us promptly through the Contact Us form without including those secrets.
4. Plans, recurring billing, cancellation, and refunds
Starter features are available without a paid subscription, subject to the limits shown in the Service. Premium and Creator are recurring monthly subscriptions processed through PayPal. By approving a paid subscription, you authorize PayPal to charge the applicable monthly amount automatically until the subscription is cancelled.
Prices, taxes, plan limits, and included features are displayed before purchase. We may change future pricing or plan features with reasonable notice where required. Changes do not authorize us to charge a new amount without the approval required by PayPal or applicable law.
You may cancel through the account billing page. Under the current cancellation flow, cancellation stops future subscription charges and returns the account to Starter immediately. You are responsible for downloading or preserving any outputs you are entitled to keep before cancelling.
All subscription payments are final and non-refundable. We do not provide prorated refunds or credits for unused time, downgrades, account inactivity, or failure to cancel before renewal. This policy does not exclude any refund, reversal, or remedy that cannot legally be excluded, including a verified unauthorized or duplicate charge where applicable law requires a remedy.
5. Generated cBots and license restrictions
Subject to your compliance with these Terms and the entitlements of your plan, cBot Factory grants you a limited, revocable, non-exclusive, non-transferable license to use generated cBot outputs for the purposes permitted by your plan. The indicators, templates, platform code, protection mechanisms, validation systems, and Service implementation remain owned by cBot Factory or their respective licensors.
You may configure parameters intentionally exposed through a delivered cBot interface. Unless your plan or a separate written agreement expressly grants broader rights, you may not:
- sell, sublicense, publish, redistribute, or share generated cBots or license credentials;
- allow unrelated persons or accounts to use your entitlement;
- remove, bypass, disable, or interfere with licensing or protection controls;
- reverse engineer, decompile, extract, or attempt to reconstruct protected implementation logic, except where a non-waivable law expressly permits it;
- represent cBot Factory software or generated templates as your independently developed platform technology; or
- use the Service to infringe another person's intellectual-property, privacy, contractual, or other rights.
You retain responsibility for the strategy ideas and configuration choices you submit. You confirm that you have the right to submit and use them.
6. Trading risk and no financial advice
cBot Factory is a software service—not a broker, investment adviser, portfolio manager, fiduciary, signal provider, or financial-planning service. Indicators, educational guidance, validation messages, examples, scores, and generated cBots are provided for software configuration and informational purposes only. They are not financial advice or a recommendation to buy, sell, or hold any instrument.
Trading foreign exchange, contracts for difference, and other leveraged products can result in rapid and substantial losses, including loss of all deposited capital and, depending on the broker and jurisdiction, more than the amount deposited. Automated trading can amplify losses through configuration mistakes, technical failures, market gaps, latency, slippage, spreads, commissions, rejected orders, or unexpected market behavior.
Backtests, simulations, demos, and historical examples have limitations and do not guarantee future results. You are solely responsible for reviewing the generated cBot, using appropriate test data, conducting demo and forward testing, confirming broker compatibility, choosing whether to trade live, monitoring operation, and determining suitable risk.
7. Acceptable use
You may not misuse the Service, probe or disrupt its security, automate abusive traffic, introduce malicious code, scrape protected content, evade plan limits, access another person's account, use the Service unlawfully, or assist others in doing so. You may not use generated outputs where automated trading is prohibited by law, regulation, broker terms, platform rules, or account restrictions.
8. Availability, updates, and third-party services
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, security work, provider outages, legal requirements, or technical changes may limit access. We may update validation rules, interfaces, indicator support, protection mechanisms, and compatibility requirements.
The Service relies on third parties such as hosting, authentication, database, payment, email, cTrader, and broker services. Their terms and availability apply independently. cBot Factory is not responsible for a third party's acts, outages, market data, execution, fees, or decisions.
9. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of profitability, fitness for a particular trading strategy, uninterrupted access, broker acceptance, error-free code, or compatibility with future platform changes.
To the fullest extent permitted by law, cBot Factory will not be liable for trading losses, lost profits, lost opportunities, loss of data, broker actions, market movements, indirect damages, consequential damages, or damages caused by your configuration or use of generated outputs. Where liability cannot be excluded, our aggregate liability arising from the Service will not exceed the amount you paid to cBot Factory during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability or consumer rights that cannot lawfully be excluded or limited.
10. Indemnity
To the extent permitted by law, you agree to defend and indemnify cBot Factory against third-party claims, losses, and reasonable costs arising from your unlawful use of the Service, breach of these Terms, infringement of another person's rights, redistribution of protected outputs, or operation of a generated cBot for another person without appropriate authorization.
11. Suspension and termination
You may stop using the Service at any time. We may restrict or terminate access when reasonably necessary to address non-payment, suspected fraud, security threats, unlawful activity, material breach, protection circumvention, abuse, or legal requirements. Where appropriate, we will provide notice and an opportunity to resolve the issue.
Provisions concerning payment obligations, intellectual property, licensing restrictions, trading-risk responsibility, disclaimers, liability, indemnity, and governing law survive termination.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Before filing a formal claim, you agree to contact us through the Contact Us form and give both parties a reasonable opportunity to attempt an informal resolution. Any unresolved dispute will be submitted to the courts with jurisdiction under Philippine law, unless applicable consumer law requires another forum.
13. Changes and contact
We may update these Terms to reflect changes in the Service, law, security practices, or business operations. Material changes will be communicated through the Service or account contact details where appropriate. Continued use after an updated effective date constitutes acceptance to the extent permitted by law.
